Spriggy Schools - NAB Business Banking Offer Terms & Conditions

Spriggy Schools merchant fees promotional offer ("Offer") is available from 15 June 2023 until 31 January 2024 ("Offer Period"). By requesting a demo using the promotional code NAB180 ("Promo Code"), you agree to be bound by these terms and conditions ("Terms").

To be eligible for the Offer, you must: (i) be a new customer (this means you must not currently have, nor previously have had, an agreement or other arrangement for use of the Spriggy Schools ordering platform); (ii) request a demo of the Spriggy Schools ordering platform from Spriggy Schools using the Promo Code; and (iii) enter into a signed agreement with Spriggy Schools for access to and use of the Spriggy Schools ordering platform in respect of one or more facilities in Australia (fees, terms and conditions apply) ("Facility Provider Agreement"), during the Offer Period ("Eligibility Criteria").

If you meet the Eligibility Criteria, Spriggy Schools will waive applicable merchant fees payable by you under the Facility Provider Agreement for the first six (6) months of the term of that agreement ("Offer Reward"). Unless otherwise agreed by the parties, the term will commence on the date that both parties have executed a Facility Provider Agreement. After the first six (6) months, fees will be due and payable thereafter in accordance with the Facility Provider Agreement.

By requesting a demo using the Promo Code, you consent to Spriggy Schools handling your personal information in accordance with its Privacy Policy which you can access at spriggyschools.com.au/terms.

You must not: (a) share your Promo Code with any other person without the prior written permission of Spriggy Schools; (b) distribute a Promo Code via any form of unsolicited electronic communication (spam) or bulk email; (c) create multiple accounts or create any account using a false identity; or (d) use the Promo Code in a way that infringes the rights of any third party, or in breach of any applicable laws.

Spriggy Schools may at its sole discretion, acting reasonably, refuse to pay or cancel an Offer Reward without notice. The reasons for such refusal or cancellation may include, but are not limited to if: (a) Spriggy Schools reasonably believes that you are acting in a fraudulent or illegal way; (b) Spriggy Schools reasonably believes that you have threatened the security of Spriggy Schools; (c) Spriggy Schools reasonably believes that your conduct is in breach of these Terms or terms of the applicable Facility Provider Agreement; or (d) your Spriggy Schools merchant account has been suspended or cancelled.

All of Spriggy Schools' decisions about your participation in the Offer and eligibility for any Offer Reward, and the amount of any Offer Reward, are final and binding. This offer is not available in conjunction with any other offer (unless Spriggy Schools agrees otherwise). Spriggy Schools reserves the absolute right to suspend, change, cancel or withdraw the Offer or these Terms (including the conditions or incentive of the offer) at any time without notice. To avoid doubt, the Offer will be honoured if you satisfy the Eligibility Criteria prior to any such modification or termination of the Offer unless there was a violation of these Terms.
